Frontmattering Commercial License Terms

1. Parties

These Commercial License Terms are between the customer identified in the purchase record or separate written agreement and the Frontmattering licensor identified on this website or in the applicable order record.

2. Relationship to the individual-use license

Frontmattering is source-available software. The individual-use license allows personal, educational, hobby, private research, and evaluation use. These Commercial License Terms grant additional paid rights for professional, organizational, CI/CD, client, hosted, or revenue-connected use within the purchased scope.

3. Definitions

Software means Frontmattering source code, package artifacts, command-line tools, validation runtime artifacts, specifications, packaged prompt templates, and associated documentation.
Licensee means the named individual or named legal entity associated with the purchase.
Repository means a named source-code or document repository, whether hosted on GitHub, GitLab, Bitbucket, an internal forge, or an equivalent version-controlled corpus.
Covered releases means Frontmattering releases published before the end of the purchased update period.
Client deployment means installing, embedding, operating, or leaving Frontmattering in a repository, CI/CD system, product, platform, or workflow controlled by a client or third party.

4. License grant

Subject to payment and compliance with these terms, the licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable commercial-use license to install, run, inspect, and internally use the Software within the purchased scope.

5. Purchased scopes

Solo Professional

One named natural person may use the Software for professional work in repositories controlled by that person. This does not grant organizational deployment rights to an employer or client.

Organization — One Repository

One named legal entity may use the Software in one named repository, including use by employees, contractors, automation, agents, development environments, and CI/CD systems operating within that repository.

Organization — All Repositories

One named legal entity may use the Software in repositories owned or controlled by that legal entity, including use by employees, contractors, automation, agents, development environments, and CI/CD systems.

6. Excluded uses

Unless expressly permitted in a separate written agreement, the license does not permit resale, sublicensing, redistribution of modified Software, OEM use, white-labeling, hosted-service operation, managed-service delivery, deployment into unrelated client organizations, or use across affiliated legal entities beyond the named Licensee.

7. Updates and perpetual use

The commercial license includes perpetual use of Covered releases and access to updates published during the 12 months following purchase, unless a different update period is stated in the order record. Releases published after the update period require a renewal, upgrade, or separate license.

8. Output

Generated output is governed by the output grant in the individual-use license. This commercial license does not restrict the Licensee’s right to use the generated prompt text, render receipts, execution-record templates, and scaffolds emitted by permitted Software use.

9. Compliance records

The Licensee should retain purchase receipts, license keys, invoices, entitlement files, and repository-scope records as evidence of commercial-use rights. The licensor may request reasonable evidence of compliance if there is a good-faith basis to believe use exceeds the purchased scope.

10. Refunds and termination

If a purchase is refunded, the commercial license associated with that purchase terminates. The Licensee must stop commercial use unless another valid commercial license applies. The personal-use and evaluation permissions, if applicable, remain governed by the individual-use license.

11. No warranty

The Software is provided “as is,” without warranty of any kind, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, security, correctness, or availability.

12. Limitation of liability

To the maximum extent permitted by law, the licensor is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or substitute services.

13. Governing law

TODO before publication: identify governing law, venue, language priority, and consumer-law carve-outs after legal review.

14. Order of precedence

If marketing copy, checkout descriptions, repository notices, and these terms conflict, the separate signed written agreement controls first; then these Commercial License Terms; then the order record; then website summaries and checkout descriptions.
